Yala Tracker agrees to provide web development, mobile application development, and technical consulting services as outlined in your chosen plan or signed Statement of Work (SOW). While we strive for perfection, software development is an iterative process, and timelines provided are professional estimates based on current project scope.

2.2 Intellectual Property Rights

  • Client Ownership: Upon full and final payment of all fees due to Yala Tracker, the specific custom code, design assets, and final deliverables created for your project will be transferred to you.
  • Agency Rights: Yala Tracker retains ownership of any pre-existing code, modular libraries, or proprietary “developer tools” used to build your project. We grant you a non-exclusive, perpetual license to use these components as part of your application.
  • Portfolio Rights: Unless a Non-Disclosure Agreement (NDA) is specifically signed, Yala Tracker reserves the right to display the project in our portfolio and marketing materials.

2.3 Payment Terms and Subscriptions

For subscription-based plans, payments are billed in advance on an annual or monthly basis. Failure to clear invoices may result in the temporary suspension of development services or hosting environments.

2.4 Limitation of Liability

In no event shall Yala Tracker, nor its directors or employees, be held liable for anything arising out of or in any way connected with your use of the software we develop. Yala Tracker shall not be held liable for any indirect, consequential, or special liability arising out of or in any way related to your use of our digital products after the final QA and acceptance phase.

2.5 Indemnification

You hereby indemnify to the fullest extent Yala Tracker from and against any and/or all liabilities, costs, demands, causes of action, damages, and expenses arising in any way related to your breach of any of the provisions of these Terms.
